SmartFlex provides transfer agency, shareholder registry maintenance, investment fund administration, public company registrar support, and IPO and listing advisory services to corporate issuers, investment managers, and their advisers. Specific engagements are governed by a separate services agreement executed between SmartFlex and the client; these Terms apply to general use of the Site and do not replace or override any signed services agreement.

3. Eligibility & Client Accounts

Our Services are intended for use by corporate entities, investment managers, financial intermediaries, and their authorised representatives. If we provide you with access credentials to a shareholder or investor portal, you are responsible for maintaining the confidentiality of those credentials and for all activity that occurs under your account.

4. Acceptable Use of the Website

When using the Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable regulation;
• Attempt to gain unauthorised access to any portion of the Site, our systems, or related networks;
• Interfere with or disrupt the integrity or performance of the Site;

Fees for registry, fund administration, public company support, or IPO advisory services are set out in the applicable client engagement letter or services agreement and are not published on this Site. Any indicative figures presented on the Site are for illustrative purposes only and do not constitute a binding quotation.

The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, save where a client services agreement specifies an alternative jurisdiction.
